Sponsorship Terms & Conditions
These Sponsorship Terms & Conditions (the "Terms") govern any sponsorship extended by SUZKO, LLC ("SUZKO," "we," "us," or "our") to a gaming community, content creator, event, team, organization, or other party (the "Sponsored Party," "you," or "your"). By accepting, using, or continuing to receive any sponsored product, service, credit, hosting, infrastructure, or benefit from SUZKO (the "Sponsored Services"), you agree to be bound by these Terms in full. If you do not agree, you must decline the sponsorship and immediately cease use of the Sponsored Services.
1. Nature of the Relationship — This Is a Sponsorship, Not a Gift
The Sponsored Services are provided as a commercial sponsorship in exchange for the promotional consideration described in these Terms. They are not a donation, gift, grant, charity, prize, or act of goodwill, and they create no expectation of continued generosity. Just as a company sponsors a race team or an athlete in return for visible promotion, SUZKO provides the Sponsored Services in return for the Sponsored Party's continuous, good-faith fulfillment of the promotional obligations set out in Section 4. The Sponsored Services have real, quantifiable value, and that value is the consideration you exchange for meeting your obligations.
For the purposes of these Terms, the "Sponsorship Value" means the standard, publicly listed retail price of the Sponsored Services for the period they are provided, as determined solely by SUZKO. The Sponsorship Value is the figure used to calculate any amounts owed under Section 8 and is not reduced or waived merely because the Sponsored Services were originally extended at no charge.
2. Eligibility & Approval
Sponsorship is a privilege extended entirely at SUZKO's sole and absolute discretion. Nothing in these Terms, in any application, in any prior sponsorship, or in any communication from SUZKO obligates us to offer, grant, renew, expand, or continue any sponsorship. To be considered, and to remain eligible, a Sponsored Party must at all times:
- operate a lawful, legitimate community, project, event, or channel that is active and in good standing;
- maintain a SUZKO account in good standing and comply with our Terms of Service and Acceptable Use Policy, which are incorporated into these Terms by reference;
- be able and willing to fulfill the promotional obligations in Section 4 continuously for the entire duration of the sponsorship;
- conduct itself in a manner consistent with the standards in Section 5; and
- provide accurate information about itself, its audience, and its reach, and promptly correct that information if it changes.
Each sponsorship is further governed by an individual written confirmation from SUZKO (a "Sponsorship Confirmation"), which may be delivered by email, dashboard notice, signed agreement, or other written record. The Sponsorship Confirmation identifies the Sponsored Services, the effective period, and any sponsorship-specific terms. Where a Sponsorship Confirmation conflicts with these Terms, the more restrictive provision controls, and SUZKO's interpretation is final.
3. Term, Renewal & Discretionary Revocation
A sponsorship continues only for the period stated in the Sponsorship Confirmation and only for so long as the Sponsored Party remains fully compliant with these Terms. Sponsorships do not automatically renew and confer no right to renewal. SUZKO may, at its sole discretion and at any time, decline to renew, reduce, modify, suspend, or revoke a sponsorship — with or without cause and, where these Terms so provide, without notice. No lapse, delay, or failure by SUZKO to enforce any provision waives that provision or any other.
4. Promotional Obligations — Select and Maintain at Least Five
In consideration for the Sponsored Services, the Sponsored Party must select, implement, and continuously maintain at least five (5) of the promotional obligations listed below for the entire duration of the sponsorship. A larger number may be required and specified in your Sponsorship Confirmation; the five-item minimum is a floor, not a ceiling. Selecting an obligation once is not enough — each selected obligation must remain live, visible, current, and functioning at all times. Where an obligation notes "where appropriate," it must be honored in any medium in which it can reasonably be displayed; you may not decline an obligation simply because it is inconvenient.
Unless the Sponsorship Confirmation states otherwise, all placements must prominently feature the current, unmodified SUZKO name and/or logo and, where a hyperlink is possible, link to suzko.com (or a campaign URL we provide). The SUZKO name must always appear in full uppercase — "SUZKO."

A promotional placement that is removed, hidden, broken, expired, out of date, or rendered non-visible for any reason ceases to count toward your minimum. If, at any moment, fewer than the required number of obligations are live and functioning, you are in breach of these Terms and subject to the consequences in Section 8.
The five-item minimum is the floor that keeps a sponsorship in good standing — it is not the ceiling. The tiers below describe what minimum, strong, and exemplary participation look like in practice. Only the "Minimum" column is contractually required. The higher tiers are how a Sponsored Party earns renewal priority, expanded resources, and co-marketing — all granted at SUZKO's sole discretion and creating no entitlement.

Falling below the "Minimum" column at any time places the Sponsored Party in breach under this Section and exposes it to the consequences in Section 8. Reaching the "Standard" or "Best-in-Class" tiers is encouraged and rewarded, but confers no contractual right to renewal, expansion, or any additional benefit, each of which remains at SUZKO's sole discretion.
5. Standards of Conduct & Reputational Protection
The Sponsored Party is a public reflection of SUZKO for the duration of the sponsorship. You must therefore conduct your community, channel, or organization lawfully and responsibly and refrain from any activity that is, or that SUZKO reasonably determines to be, unlawful, fraudulent, deceptive, hateful, harassing, sexually exploitative, violent, defamatory, infringing, or otherwise damaging to SUZKO's name, reputation, or goodwill. You must not disparage SUZKO, misrepresent the nature or scope of the sponsorship, or state or imply any relationship with SUZKO beyond the sponsorship described here (see Section 9).
SUZKO may suspend or revoke a sponsorship immediately, without notice, if it determines in its sole discretion that continued association with the Sponsored Party is or may become detrimental to SUZKO's interests, brand, or reputation, regardless of whether the Sponsored Party has otherwise met its promotional obligations.
6. Brand & Trademark Usage
SUZKO grants the Sponsored Party a limited, non-exclusive, non-transferable, royalty-free, and fully revocable license to display the SUZKO name, logo, and approved marketing assets solely to satisfy the promotional obligations in Section 4 for the duration of the sponsorship. All such use must follow SUZKO's brand guidelines and use only current, unmodified assets obtained from our brand kit. You may not alter, recolor, distort, animate, or combine the SUZKO marks with other marks in a way that implies a false relationship, and you may not register or attempt to register any SUZKO mark, or any confusingly similar mark or domain, anywhere in the world.
All goodwill arising from your use of the SUZKO marks inures solely to SUZKO. This license terminates automatically the moment the sponsorship ends or is revoked, at which point you must promptly remove all SUZKO marks and references from every placement within the time SUZKO specifies.
7. Compliance Verification & Audit
SUZKO may verify compliance with these Terms at any time. Upon request, the Sponsored Party must produce satisfactory evidence — such as screenshots, live links, published URLs, analytics, or other proof — that each selected promotional obligation is live and has been continuously maintained. Such evidence must be delivered within five (5) business daysof SUZKO's request.
Failure to respond within that window, or the provision of incomplete, inaccurate, or unsatisfactory evidence, will be deemed conclusive proof of non-compliance, and SUZKO's determination of non-compliance is final and binding. SUZKO is under no obligation to warn, remind, or give the Sponsored Party an opportunity to cure before acting under Section 8.
8. Non-Compliance, Termination & Remedies
If the Sponsored Party fails to meet, maintain, or prove any obligation under these Terms, or breaches any other provision, SUZKO may, in its sole discretion and effective immediately upon breach, without any notice, warning, cure period, or further obligation:
- Suspend and terminate any and all Sponsored Services in whole or in part, at once and without notice, including powering off, suspending, or deleting servers, containers, workloads, data, and associated resources;
- Retroactively invoice the Sponsored Partyfor the full standard retail Sponsorship Value of all Sponsored Services provided during any period of non-compliance — up to and including the entire duration of the sponsorship — as though the Sponsored Services had been purchased at full price, together with any applicable taxes, fees, and costs of collection (including reasonable attorneys' fees). By accepting the sponsorship, the Sponsored Party expressly agrees that these amounts are a genuine measure of the consideration exchanged and are immediately due and payable upon invoice;
- Permanently disqualify the Sponsored Party, its principals, and its affiliated projects from any current or future SUZKO sponsorship, and terminate any related credits, perks, or benefits; and
- Pursue any other remedy available at law or in equity, all of which are cumulative and none of which is exclusive.
No refund, credit, or compensation of any kind is owed to the Sponsored Party upon suspension, termination, or revocation for any reason. The Sponsored Party remains responsible for exporting or preserving its own data before termination; SUZKO is not obligated to retain, migrate, or return data once a sponsorship ends, and standard data-handling and retention practices apply as described in our Terms of Service and Privacy Policy.
9. No Partnership, Agency, or Endorsement
Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the parties, and neither party may bind or incur any obligation on behalf of the other. The sponsorship does not constitute an endorsement by SUZKO of the Sponsored Party or its content, and the Sponsored Party may not represent otherwise. The commercial partner and reseller relationships described on our Partners page are separate programs governed by their own terms and are not established by these Terms.
10. Disclaimer & Limitation of Liability
The Sponsored Services are provided strictly "as is" and "as available," without warranty of any kind. Sponsored Services are not covered by any service level agreement, and SUZKO may modify, throttle, relocate, reduce, or discontinue any Sponsored Service at any time, with or without notice. To the maximum extent permitted by law, SUZKO's total liability arising out of or relating to a sponsorship will not exceed the Sponsorship Value, and SUZKO will not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, data, or goodwill. The Sponsored Party agrees to indemnify and hold SUZKO harmless from any claim arising out of the Sponsored Party's content, conduct, or use of the Sponsored Services.
11. Changes to These Terms
SUZKO may modify these Terms at any time by posting an updated version on this page with a new effective date. Continued use of the Sponsored Services after a change constitutes acceptance of the revised Terms. If you do not accept a change, your sole remedy is to end the sponsorship and cease use of the Sponsored Services.
12. Governing Law & Dispute Resolution
These Terms are governed by, and any dispute arising out of or relating to a sponsorship is subject to, the governing law and dispute-resolution provisions of our Terms of Service, which are incorporated into these Terms by reference and apply as if set out in full here.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed from these Terms. The invalidity, illegality, or unenforceability of any provision will not affect the validity or enforceability of any other provision, and the remainder of these Terms will continue in full force and effect.
14. Survival
Any provision of these Terms that by its nature should survive termination or expiration of a sponsorship will survive, including Sections 6 (Brand & Trademark Usage), 8 (Non-Compliance, Termination & Remedies), and 10 (Disclaimer & Limitation of Liability), as well as any payment obligations that have accrued prior to termination. Termination, expiration, or revocation of a sponsorship does not relieve the Sponsored Party of any obligation that accrued before it ended.
15. Assignment
The Sponsored Party may not assign, transfer, delegate, or sublicense any of its rights or obligations under these Terms, whether by operation of law or otherwise, without SUZKO's prior written consent, and any attempted assignment without such consent is void. SUZKO may freely assign or transfer its rights and obligations under these Terms, in whole or in part, to any affiliate or successor or in connection with a merger, acquisition, reorganization, or sale of assets, without the Sponsored Party's consent. These Terms bind and benefit the parties and their permitted successors and assigns.
16. Notices
Any formal notice required or permitted under these Terms must be given in writing. Notices to the Sponsored Party will be delivered to the email address, mailing address, or account contact information the Sponsored Party has provided to SUZKO, and are deemed given when sent to the most recent such contact on file; the Sponsored Party is responsible for keeping its contact information current. Notices to SUZKO must be sent to legal@suzko.com and, where a physical notice is required, to SUZKO, LLC, 312 N Green St, Suite D, Crawfordsville, Indiana 47933, United States. Notices are deemed given upon delivery by email or, if sent by mail, upon documented receipt.
